1. Acceptance of Terms

By accessing or using the Docent mobile application and related services (the "Service") provided by Docent Labs Inc. ("we," "us," or "our"), you agree to be bound by these Terms & Conditions (the "Terms"). If you do not agree to these Terms, you may not use the Service.

2. Description of Service

Docent is an AI-powered mobile DeFi trading assistant that enables natural language trading on decentralized exchanges and prediction markets, including Hyperliquid, Polymarket, and Lighter.xyz. The Service provides an interface for users to interact with these third-party decentralized protocols through conversational AI.

3. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

You are responsible for ensuring that your use of the Service complies with all applicable laws and regulations in your jurisdiction, including but not limited to laws governing cryptocurrency trading, financial instruments, and prediction markets.

4. Account and Wallet

To use the Service, you must create an account through our authentication provider, Privy. A cryptocurrency wallet will be created or linked to your account.

  • You are solely responsible for maintaining the security of your account credentials and wallet access.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately of any unauthorized use of your account.
  • We are not responsible for any loss or damage arising from your failure to maintain adequate security of your account.

5. Trading and Financial Risks

Trading cryptocurrency and using prediction markets involves substantial risk of loss and is not suitable for every person.

  • You acknowledge that the value of cryptocurrencies can be highly volatile and you may lose some or all of your funds.
  • You are solely responsible for your trading decisions and any resulting gains or losses.
  • Leveraged trading on platforms like Hyperliquid carries additional risk of liquidation and amplified losses.
  • Prediction market positions on Polymarket are subject to resolution risk and market conditions.
  • Past performance is not indicative of future results. No guarantees are made regarding trading outcomes.
  • Blockchain transactions are irreversible once confirmed. We cannot reverse or cancel executed trades.

6. AI-Powered Features

The Service uses artificial intelligence to assist with trading, market analysis, and other features. You acknowledge and agree that:

  • AI-generated content does not constitute financial advice, investment advice, trading advice, or any other sort of professional advice.
  • AI responses may contain errors, inaccuracies, or outdated information. You should independently verify any information before making trading decisions.
  • AI models are provided by third-party providers (OpenAI, Anthropic, xAI) and their availability and quality are outside our direct control.
  • You should not rely solely on AI suggestions for trading decisions. Always exercise your own judgment.

7. Prohibited Uses

You agree not to use the Service to:

  • Violate any applicable law, regulation, or these Terms.
  • Engage in market manipulation, wash trading, or other fraudulent trading activity.
  • Attempt to gain unauthorized access to the Service, other accounts, or related systems.
  • Circumvent, disable, or interfere with security features of the Service.
  • Use the Service for money laundering, terrorist financing, or other illicit financial activity.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Use automated scripts, bots, or scrapers to access the Service without our written permission.

8. Third-Party Services

The Service integrates with and relies on third-party platforms and services including, but not limited to, Hyperliquid, Polymarket, Lighter.xyz, Privy, OneBalance, OpenAI, Anthropic, and xAI.

  • We do not control and are not responsible for the actions, availability, or policies of these third-party services.
  • Your use of third-party services is subject to their respective terms and conditions.
  • We are not liable for any loss or damage caused by third-party service outages, errors, or changes.

9. Intellectual Property

The Service and its original content, features, and functionality are owned by Docent Labs Inc. and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of any content you submit through the Service. However, by using the Service, you grant us a limited license to process your content as necessary to provide and improve the Service.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Docent Labs Inc., its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, funds, or cryptocurrency.
  • Loss of data or business interruption.
  • Trading losses or liquidation events.
  • Damages resulting from AI-generated content or recommendations.
  • Damages caused by third-party service failures or blockchain network issues.

Our total liability for any claims arising under these Terms shall not exceed the amount you paid to us, if any, for use of the Service during the twelve (12) months preceding the claim.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free.
  • Trading results will be profitable or that any particular outcome will be achieved.
  • AI-generated content will be accurate, complete, or reliable.
  • The Service will be compatible with all devices or operating systems.

12. Indemnification

You agree to indemnify, defend, and hold harmless Docent Labs Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of another.

13. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

You may stop using the Service at any time. Termination does not affect any rights or obligations arising before the effective date of termination, including any pending transactions on blockchain networks.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in California, and you consent to the personal jurisdiction of such courts.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms within the app or on our website and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
